Terms of Service

1. Definitions

These defined terms carry specific meaning throughout this agreement:

• “Third-Party Service” — any product or service not operated by Compify, including the third-party applications the Service can connect to (for example Gmail, Slack, Notion, GitHub, Stripe) and any AI model provider.
• “Connected Account” — an account you hold with a Third-Party Service that you link to the Service by granting an OAuth authorization, API key, or other credential.
• “AI Agent” — any artificial-intelligence client, assistant, or model (for example Claude or ChatGPT) that you connect to the Service, including through the Model Context Protocol (MCP), and that can issue instructions through your account.
• “Tool Call” — any instruction executed through the Service against a Connected Account, whether issued by you directly or by an AI Agent connected to your account.
• “Customer Content” — data, content, and material that you or your AI Agents submit to, retrieve through, or transmit via the Service, including inputs to and outputs from AI features.
• “Packages” — plugins, skills, presets, and similar packaged capabilities made available through the Service.
• “Usage Information” — configurations, metadata, logs, statistics, and de-identified or aggregated data concerning use of the Service, excluding the contents of Customer Content.
• “Workspace” — a shared team environment in the Service with one or more members and administrators.
• “Beta Release” — any feature or service identified as alpha, beta, preview, early access, experimental, or planned.
• “Sensitive Personal Data” — data whose processing is subject to heightened legal regimes, including protected health information under HIPAA, cardholder data under PCI-DSS, government-issued identification numbers, and biometric identifiers.

2. Eligibility and your account

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to use the Service. Registration and sign-in are handled through our authentication provider. You agree to provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your login and for all activity that occurs under your account, whether or not authorized by you, until you notify us at security@compify.dev. We may revoke, rotate, or expire credentials and API tokens associated with your account if we reasonably suspect they have been compromised.

3. The Service and your license

Compify is a connector gateway: it lets you link Connected Accounts once and then lets you and your AI Agents read from and act on those accounts through a single secure interface. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business or personal purposes. We reserve all rights not expressly granted.

4. Workspaces and administrators

If you join a Workspace, its administrators can access, modify, restrict, and delete Workspace data, including connections, logs, and content associated with your membership. Your use of a Workspace is subject to your organization's policies, and your recourse regarding administrator decisions is to your organization, not to Compify. If you administer a Workspace, you are responsible for the actions of its members and for having authority over the accounts and data connected within it.

5. Connected Accounts and credentials

When you connect a Third-Party Service, you:

• represent and warrant that you own the Connected Account or are fully authorized to connect it and to grant the scopes you grant;
• instruct Compify to store the associated credential (encrypted at rest) and to use it solely to execute Tool Calls issued by you and by the AI Agents you connect;
• acknowledge that your use of each Third-Party Service remains governed exclusively by that service's own terms, policies, and rate limits, and that you — not Compify — are responsible for complying with them;
• acknowledge that connecting a Third-Party Service instructs Compify and that service to exchange data according to the scopes you granted and the Tool Calls you or your AI Agents issue.

You may disconnect a Connected Account at any time in the Service or by revoking access at the provider. On disconnection we delete the stored credential and, where the provider supports it, revoke the grant upstream.

6. AI Agent actions

This section is central to how the Service works — read it carefully.

• Every Tool Call issued by an AI Agent connected to your account is deemed your own instruction and your own action, exactly as if you had performed it yourself.
• You are solely responsible for which AI Agents you connect, the scopes and permissions you grant them, the instructions and prompts you give them, and all actions they take and content they generate through the Service — including erroneous, unintended, incomplete, or harmful actions (for example a sent message, a modified record, a deleted file, or a charge initiated through a connected billing tool).
• Compify executes instructions; it does not review, approve, supervise, or guarantee them. We provide confirmation safeguards for certain destructive actions as a courtesy, not as a duty, and they do not shift responsibility to us.
• AI-generated output can be inaccurate, incomplete, or unsuitable. You must independently verify output before relying on it for any consequential decision, and you must ensure a qualified human reviews any output used in high-stakes contexts such as legal, medical, financial, or employment decisions.
• You must comply with the usage policies of every AI provider you connect through the Service (for example Anthropic's and OpenAI's usage policies), and you may not use the Service to circumvent the guardrails, rate limits, or terms of any platform.

7. Third-Party Services; no affiliation

Compify is independent. We are not affiliated with, endorsed by, or sponsored by any Third-Party Service. All third-party names, logos, and trademarks shown in the Service belong to their respective owners and are used solely to identify the corresponding integration; no license to them is granted to you or to us by their display. Integrations are provided as a convenience: we are not responsible for the content, functionality, availability, security, or data practices of any Third-Party Service, and integrations may change, break, or be removed without liability when upstream APIs, terms, or availability change. Any actions a Third-Party Service takes in connection with your Connected Account are between you and that service.

8. Packages (plugins and skills)

Packages made available by Compify are licensed to you for use with the Service under these Terms; they are not sold. A Package's behavior depends on the AI Agent executing it and on your Connected Accounts, and outcomes are not guaranteed. If the Service later allows publishing Packages, you warrant that you have all rights in anything you publish, you grant other users the license indicated at publication, and we may remove any Package at our discretion, including in response to infringement notices.

9. Acceptable use

You agree not to, and not to permit your AI Agents to:

• use the Service to violate any law or the rights of others, or to transmit malware or malicious code;
• send spam or unsolicited bulk communications through Connected Accounts;
• connect accounts or credentials you do not own or lack authority to use, or harvest credentials;
• circumvent the terms, guardrails, rate limits, or security controls of Compify or of any Third-Party Service or AI provider;
• probe, scan, disrupt, overload, or attempt unauthorized access to the Service or its infrastructure;
• reverse-engineer, copy, resell, sublicense, or provide the Service to third parties as a service bureau, or use it to build or benchmark a competing product;
• use the Service for high-risk activities where failure could lead to death, personal injury, or severe environmental or property damage (including life-support, emergency response, weapons, or nuclear applications).

Sensitive Personal Data is prohibited: you must not submit, route, or store protected health information, payment-card data, government identification numbers, or biometric identifiers through the Service. The Service is not designed for such data, no business-associate or similar agreement is in place, and Compify disclaims all liability arising from Sensitive Personal Data you route through the Service in breach of this section.

10. Fees and billing

Paid plans are billed through our payment processor, Stripe. PAID SUBSCRIPTIONS RENEW AUTOMATICALLY FOR SUCCESSIVE PERIODS EQUAL TO YOUR BILLING PERIOD UNTIL CANCELLED, AND YOU AUTHORIZE US TO CHARGE YOUR PAYMENT METHOD ON EACH RENEWAL. Usage-based charges, where applicable, are billed in arrears for the preceding period. Fees are non-refundable except as expressly stated in these Terms or required by law, and exclude taxes, which are your responsibility. We may change prices or plan features with notice before your next renewal; the change applies from that renewal. Free plans and trials are provided AS-IS, without warranties or indemnities, and may be changed, limited, or discontinued at any time. Your purchase is not contingent on the delivery of any future feature or functionality.

11. Customer Content and data

You retain all ownership of Customer Content and of the data in your Connected Accounts. You grant Compify a limited, non-exclusive, worldwide license to host, process, transmit, and display Customer Content solely as needed to provide, secure, and support the Service for the term of these Terms. You are solely responsible for the legality and accuracy of Customer Content and for all actions triggered by it or by your instructions, and you represent that you have all rights, consents, and permissions necessary for the Customer Content you route through the Service and for the actions you and your AI Agents trigger.

We do not use Customer Content or Connected Account data to train artificial-intelligence or machine-learning models. We may use Usage Information to operate, secure, improve, and market the Service.

12. Privacy

Our collection and handling of personal data is described in the Privacy Policy at https://compify.dev/privacy, which is incorporated into these Terms. Where we process personal data contained in Customer Content on your behalf, we act as your processor or service provider and process it only on your documented instructions as described there.

13. Proprietary rights and feedback

The Service — including its software, design, documentation, and the COMPIFY name and marks — is owned by Cobalt Tech Solutions LLC and protected by intellectual-property laws. Except for the limited license above, nothing in these Terms transfers any of our intellectual property to you. If you send us feedback or suggestions, we may use them without restriction or obligation to you.

14. Confidentiality

Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential. The receiving party will use such information only in connection with the Service, protect it with at least reasonable care, and not disclose it except to personnel and contractors under equivalent obligations, or where disclosure is required by law with reasonable advance notice where permitted.

15. Copyright complaints (DMCA)

If you believe content available through the Service infringes your copyright, send a notice to legal@compify.dev containing: your physical or electronic signature; identification of the copyrighted work; identification and location of the allegedly infringing material; your contact information; a statement of good-faith belief that the use is unauthorized; and a statement, under penalty of perjury, that the notice is accurate and you are authorized to act for the owner. We will respond to valid notices, may remove identified material, and will terminate repeat infringers' accounts in appropriate circumstances.

16. Beta Releases

Beta Releases are provided solely to allow evaluation of pre-release functionality. They may be modified, suspended, or discontinued at any time, may contain defects or security vulnerabilities, and may result in data loss. BETA RELEASES ARE PROVIDED WITHOUT ANY WARRANTY, INDEMNITY, SERVICE COMMITMENT, OR SUPPORT, AND YOUR USE OF THEM IS AT YOUR SOLE RISK. Supplemental terms may accompany specific Beta Releases.

17. Warranty disclaimer

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” AND COMPIFY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICE OR ANY INTEGRATION WILL BE UNINTERRUPTED OR ERROR-FREE, THAT TOOL CALLS WILL EXECUTE CORRECTLY OR PRODUCE INTENDED RESULTS, THAT AI OUTPUT WILL BE ACCURATE, OR THAT THE SERVICE IS FREE OF SECURITY VULNERABILITIES.

18. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) COMPIFY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY; (B) COMPIFY WILL NOT BE LIABLE FOR ANY ACT OR OMISSION OF ANY THIRD-PARTY SERVICE, OR FOR ANY ACTION TAKEN BY AN AI AGENT OR AUTOMATION THAT YOU CONNECTED OR CONFIGURED; AND (C) COMPIFY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF THE AMOUNTS YOU PAID COMPIFY IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US $100). THESE LIMITS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. ANY CLAIM MUST BE FILED WITHIN ONE (1) YEAR AFTER IT ACCRUES OR IT IS PERMANENTLY BARRED. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

19. Indemnification

You will defend, indemnify, and hold harmless Compify and its officers, employees, and agents from and against all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: your Customer Content; your breach of these Terms or of applicable law; your violation of any Third-Party Service's or AI provider's terms or policies; and any action taken through your account, including actions taken by AI Agents or automations you connected or configured.

20. Term, suspension, and termination

You may cancel your subscription or delete your account at any time; cancellation takes effect at the end of the current billing period and you keep paid access until then. We may suspend or terminate your access immediately if you breach these Terms, create security or legal risk, or fail to pay, and in that case no refund is due. We may also terminate for convenience with notice, in which case we will refund any prepaid fees for the unused remainder of your term. Upon termination we delete stored Connected Account credentials and revoke grants where providers support it, and we may delete remaining account data after a reasonable export window, subject to the Privacy Policy and legal retention duties. We may delete accounts that have been inactive for twenty-four (24) months or more after notice. Sections that by their nature should survive termination (including ownership, disclaimers, liability limits, indemnity, and disputes) survive.

21. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and each party consents to personal jurisdiction there. EACH PARTY WAIVES ITS RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING; DISPUTES MAY BE BROUGHT ONLY ON AN INDIVIDUAL BASIS. Nothing in this section deprives you of mandatory consumer protections of the country where you live.

22. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new effective date and give reasonable advance notice of material changes through the Service or by email. Continued use after the effective date constitutes acceptance. If a change materially and adversely affects you as a paid subscriber, you may terminate within thirty (30) days of notice and receive a pro-rata refund of prepaid fees for the unused remainder of your term.

23. General

• Force majeure — neither party is liable for delay or failure caused by events beyond its reasonable control, including failures of third-party hosting, networks, or Third-Party Services.
• Assignment — you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Export and sanctions — you represent that you are not located in an embargoed country and are not on any restricted-party list, and you will comply with applicable export-control and sanctions laws.
• Entire agreement; order of precedence — these Terms, the Privacy Policy, and any supplemental terms we present for specific features are the entire agreement. Terms on any purchase order or vendor form you submit are rejected and have no effect.
• Severability and waiver — if a provision is unenforceable, the rest remains in effect; failure to enforce a provision is not a waiver.
• No third-party beneficiaries — these Terms create no rights in anyone other than you and Compify.
• Notices — we may notify you via the Service or the email on your account; legal notices to Compify go to legal@compify.dev.
